Welcome to the Sagitta Technologies Co. smartPOS platform. Please read these Terms of Use (“Terms”) carefully before activating, deploying, or utilizing our smartPOS hardware, software, cloud dashboards, or related services (collectively, the “Services”).
By accessing or using the Services, you (“Merchant,” “User,” or “You”) agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
- Description of Services
Sagitta Technologies Co. provides an integrated smart Point-of-Sale (smartPOS) solution comprising proprietary hardware devices, cloud-based management software, inventory tracking tools, analytics dashboards, and payment processing integrations.
- Eligibility & Account Registration
- Business Use Only: The Services are designed strictly for commercial, business use. You may not use the Services for personal, family, or household purposes.
- Account Security: You must provide accurate, current, and complete information during registration. You are entirely responsible for maintaining the confidentiality of your account credentials (including employee login pins) and for all activities that occur under your account.
- Compliance: You represent and warrant that your business complies with all local, state, federal, and international laws, including tax regulations and consumer protection laws.
- Fees, Billing, and Hardware
- Subscription Fees: Access to the smartPOS software cloud is billed on a subscription basis (monthly or annually) as outlined in your specific Order Form. All fees are non-refundable unless stated otherwise.
- Hardware Care: If smartPOS hardware is leased or provided under a subscription plan, title to the hardware remains with Sagitta Technologies Co. You are responsible for keeping the hardware in good working condition, barring standard wear and tear.
- Taxes: You are responsible for identifying, calculating, collecting, and remitting any and all sales, use, or transaction taxes applicable to your sales through the smartPOS system.
- Payment Processing & PCI Compliance
- Third-Party Processors: Payment processing services on the smartPOS are provided by integrated third-party payment gateways. Your use of processing services is subject to the terms and merchant agreements of those respective providers.
- Security & Fraud: Sagitta Technologies Co. complies with relevant Payment Card Industry Data Security Standards (PCI-DSS) for data within our direct control. However, you must ensure that your local network networks, routers, and staff practices do not compromise cardholder data. You agree not to store CVV/CVD data under any circumstances.
- Prohibited Uses
You agree not to use the smartPOS system to:
- Process fraudulent, unauthorized, or illegal transactions.
- Deconstruct, reverse-engineer, decompile, or modify any portion of the smartPOS software or hardware.
- Bypass or attempt to breach any security measures or access-control filters built into the device or cloud ecosystem.
- Use the system to sell products or services that violate local jurisdictions or the acceptable use policies of our integrated financial partners.
- Data Privacy & Customer Data
- Data Ownership: As between you and Sagitta Technologies Co., you own the transactional and inventory data generated by your business. You grant Sagitta Technologies Co. a license to use, aggregate, and anonymize this data to improve the Services, generate market insights, and troubleshoot technical issues.
- End-Customer Privacy: You are solely responsible for ensuring you have the appropriate legal rights, disclosures, and privacy policies in place to collect and process your end-customers’ data (such as digital receipts, phone numbers for loyalty programs, or email addresses).
- Intellectual Property
All rights, titles, and interests in the smartPOS software, firmware, user interface layouts, brand marks, and documentation belong exclusively to Sagitta Technologies Co. No ownership rights are transferred to you under these Terms; you are granted a limited, revocable, non-transferable license to use the system for your internal business operations.
- Limitation of Liability & Warranties
- “As-Is” Delivery: The smartPOS software and services are provided “As-Is” and “As-Available” without any express or implied warranties, including warranties of merchantability or fitness for a particular purpose.
- No Guarantee of Zero Downtime: While we strive for 99.9% uptime, Sagitta Technologies Co. does not guarantee that the services will be entirely uninterrupted, secure, or error-free. Internet connectivity failures at your place of business are your responsibility.
- Cap on Liability: To the maximum extent permitted by law, Sagitta Technologies Co. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business interruption. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to us in the six (6) months preceding the event giving rise to liability.
- Termination
- By You: You may terminate your account at any time by contacting support or cancelling via your merchant dashboard, subject to any fixed-term commitments outlined in your contract.
- By Us: We reserve the right to suspend or terminate your access to the smartPOS system immediately if you breach these Terms, fail to pay subscription fees, or if your processing volume triggers severe fraud or risk flags from financial networks.
- Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sagitta Technologies Co. is incorporated, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located within that jurisdiction.
- Modifications to Terms
Sagitta Technologies Co. reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website or sending an alert through your smartPOS terminal dashboard. Continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms.
